1. Agreement to Terms

By accessing or using the Taskrol platform (the "Service") operated by Taskrol ("we," "us," or "our"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, do not use the Service. Use of the Service constitutes acceptance of these Terms.

2. Description of Service

The Service is a customer relationship management (CRM) and field service platform that enables businesses to manage jobs, clients, appointments, create invoices and estimates, process payments, send SMS and make voice calls, and manage team members and inventory.

We reserve the right to modify, suspend, discontinue, or limit any part of the Service at any time with or without notice. We are not liable to you or any third party for any such changes.

3. Account Registration and Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You represent that all information you provide is accurate and complete. We may reject or terminate any account at our sole discretion.

4. Acceptable Use

You agree to use the Service only for lawful purposes. You agree NOT to: violate any applicable laws; infringe on the rights of others; send spam or unsolicited messages; harass others; gain unauthorized access; use the Service for fraudulent purposes; resell or redistribute the Service without our written consent; or interfere with the Service or its infrastructure.

Violation may result in immediate suspension or termination of your account without refund. We have no obligation to monitor your use but may do so and take action as we deem appropriate.

5. SMS and Voice Communications

When using SMS and voice features, you must comply with applicable telecommunications laws, including TCPA and carrier requirements (e.g., A2P 10DLC registration for US SMS). You are solely responsible for obtaining necessary consents from message recipients and must honor opt-out requests promptly. We are not responsible for message delivery, filtering, blocking by carriers, or any claims arising from your use of SMS or voice features.

SMS Opt-In

When you provide your phone number to a service company that uses Taskrol—for example, when scheduling a job, booking an appointment, or requesting a quote—you consent to receive SMS messages from that company. Messages may include appointment reminders, technician ETA updates, service confirmations, and related notifications. Message frequency varies based on your service requests; you will typically receive messages only in connection with active jobs or appointments. Message and data rates may apply.

SMS Opt-Out

To stop receiving SMS messages from a service company using Taskrol: (1) reply STOP to any message you received; (2) contact the service company directly and ask to be removed from their SMS list; or (3) contact Taskrol support at support@taskrol.com and we will help you opt out. Once you opt out, you will no longer receive promotional or transactional SMS from that company through Taskrol. You may receive a final confirmation message. Opting out does not affect other means of communication (email, phone calls).

6. Payment Terms

Subscription plans are billed monthly or annually. Fees are due in advance and are non-refundable except as required by applicable law. Payments are processed by our payment provider. You authorize us to charge your payment method on file. You are responsible for third-party fees (e.g., SMS/voice, transaction fees) that may apply. We may change prices with reasonable notice; continued use constitutes acceptance.

7. Your Content and Data

You retain ownership of the data you upload or create ("Your Content"). You grant us a worldwide, royalty-free, sublicensable license to use, store, process, and transmit Your Content as necessary to provide the Service, improve our offerings, comply with legal obligations, and enforce our rights. You are solely responsible for Your Content. We do not endorse or assume liability for any user content. You represent that you have the right to provide Your Content and that it does not violate any third-party rights.

8. Intellectual Property

The Service, including its design, features, and content (excluding user content), is owned by us and protected by intellectual property laws. You receive a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal business purposes during the term of your subscription. No other rights are granted.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. YOU USE THE SERVICE AT YOUR OWN RISK.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
• WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, REVENUE, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
• ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE MUST BE BROUGHT WITHIN ONE (1) YEAR OF THE CAUSE OF ACTION.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability; in such cases, our liability is limited to the maximum extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Taskrol, its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) Your Content; (c) your violation of these Terms or any law; (d) your violation of any third-party rights; or (e) any claim by your customers or third parties related to your use of the Service.

12. Termination

You may cancel your subscription at any time. We may suspend or terminate your account immediately, with or without cause, with or without notice, at our sole discretion. Upon termination, your right to use the Service ceases. We may retain your data for a limited period as required by law or for backup purposes. We have no obligation to provide a refund or data export upon termination.

13. Force Majeure

We are not liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, pandemics, strikes, government actions, internet or telecommunications failures, or power outages.

14. Governing Law and Disputes

These Terms are governed by the laws of Delaware, USA, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the courts of Delaware, USA. You agree to attempt informal resolution before initiating any legal proceeding. You waive any right to participate in a class action or class-wide arbitration.

15. General Provisions

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service.

Severability: If any provision is found unenforceable, the remaining provisions remain in effect.

Waiver: Our failure to enforce any right does not waive that right.

Assignment: You may not assign these Terms without our consent. We may assign our rights and obligations without restriction.

16. Changes to Terms

We may modify these Terms at any time. We will post the updated Terms on the Service and update the "Last updated" date. Your continued use after the effective date constitutes acceptance. If you do not agree, you must stop using the Service. We are not obligated to provide individual notice of changes.
